1. Subject matter, scope and hierarchy of sources
1.1 Subject matter
1.1.1 These Free Plan and Beta Terms (hereinafter the «Free/Beta Terms») govern the terms of use of (a) the Free Plan of the hice Service, provided by CONSOO S.R.L.S. (hereinafter «hice» or the «Provider»), and (b) the features of the Service made available on an experimental basis, identified as «Beta», «preview» or «Early Access» (hereinafter the «Beta Features»).
1.1.2 These Free/Beta Terms form an integral and essential part of the
General Terms of Service (condizioni-generali-servizio.md, hereinafter the
«Terms») and implement and specify the articles thereof relating to the Free
Plan and to the Beta/Early Access features. They shall be read together with the
Terms, the Data Processing Agreement (dpa-trattamento-dati.md, hereinafter the
«DPA»), the Privacy Policy (informativa-privacy.md), the Acceptable Use
Policy (politica-uso-accettabile.md, hereinafter the «AUP»), the AI and
Algorithmic Transparency Notice (informativa-ai-trasparenza.md) and, for
conversion to a Paid Plan, the Economic and Billing Terms
(condizioni-economiche.md).
1.2 Scope of application
1.2.1 These Free/Beta Terms apply to the Customer and to the Users who access the Service through the Free Plan and to anyone who uses a Beta Feature, including within a Paid Plan (since a feature qualified as Beta remains subject to these Terms even if used within a Paid Plan).
1.2.2 The Free Plan is the level of the Service offered without a Fee, pursuant to art. 5.2 of the Terms. The Beta Features are individual features under development, pursuant to art. 5.4 of the Terms, and may be present both in the Free Plan and in the Paid Plans.
1.3 Defined terms
1.3.1 Capitalized terms not defined in these Free/Beta Terms have the meaning
attributed to them in the Terms and in the shared glossary of the drafting
foundations (cf. _foundation.md §3). In particular, reference is made to the
terms Service, Customer, Consumer, User / Authorized User,
Account, Tenant / Organization, Customer Data, Content, AI
Features, Plan, Free Plan, Paid Plan, Fee, Documentation,
DPA, Sub-processor.
1.4 Hierarchy of sources
1.4.1 In the event of a conflict between documents regarding the rules governing
the Free Plan or the Beta Features, the following shall prevail, in order: (a)
the mandatory provisions of law protecting the Consumer (cf. _foundation.md
§4.4 and the Freelancers / Consumers Addendum,
addendum-libero-professionista.md); (b) these Free/Beta Terms as regards the
matters they specifically govern concerning free-of-charge provision, absence of
SLA, «as is»/«as available» provision, the right to modify/suspend/discontinue,
usage limits and Beta Features; (c) the Terms; (d) the Documentation.
1.4.2 For any aspect not governed by these Free/Beta Terms, the Terms shall prevail. The rules on the protection of personal data remain in any event governed by the Privacy Policy (hice as controller) and by the DPA (hice as processor), which these Terms do not derogate from (see §8).
2. Free of charge and absence of Fee
2.1 Free of charge. The Free Plan is provided free of charge: no Fee or other consideration is owed to hice for its use, save for the possible and separate subscription to a Paid Plan pursuant to §9.
2.2 Absence of an onerous relationship. The activation and use of the Free Plan do not constitute a contract for reciprocal onerous performance as regards the part of the Service used free of charge. The non-economic obligations of the Customer and of the Users (in particular use compliant with the AUP, lawfulness of the Customer Data uploaded, confidentiality of credentials) provided for in the Terms remain in force.
2.3 No right to continued free-of-charge availability. Making the Free Plan available does not grant the Customer any right to its perpetuation, to the maintenance of a particular set of features, limits or quotas, nor to its future availability, without prejudice to the provisions of §5 on modification, limitation, suspension and discontinuance.
2.4 Consequence for the limitation of liability. As this is a Service
provided free of charge, hice's liability in relation to the Free Plan is limited
to the maximum extent permitted by law, in accordance with the rules on
limitation of liability set out in the Terms (cf. _foundation.md §4.2), without
prejudice to the mandatory carve-outs set out in §7.
3. No service level (no SLA) and «best effort» support
3.1 Exclusion of the SLA. No Service Level Agreement applies to the Free
Plan. In particular, hice assumes no availability commitments (uptime),
grants no service credits, and does not guarantee restoration or response
times. The Service Level Agreement (sla-livelli-servizio.md) is reserved for
the Paid Plans and expressly excludes the Free Plan from its scope (cf. SLA,
art. 1.3).
3.2 Availability not guaranteed. The Service under the Free Plan may be subject to interruptions, suspensions, slowdowns, maintenance even without notice, and temporary or prolonged unavailability, without this giving rise to any indemnity, refund, reduction or credit.
3.3 «Best effort» support. Support relating to the Free Plan is provided, where and when available, on a best efforts basis, with no guaranteed response times, with no dedicated support channels and with no priority. hice may provide support through self-help resources, the Documentation, any community channels or the address info@hice.ai, without this constituting a binding support level.
3.4 Preservation of mandatory limits. The provisions of this §3 operate within the limits permitted by law and do not affect the mandatory carve-outs set out in §7 nor the mandatory Consumer protections set out in §10.
4. «As is» and «as available» Service — exclusion of warranties
4.1 «As is» and «as available». The Free Plan and the Beta Features are provided «as is» and «as available», in the state in which they are at the time of access, without customizations and without adaptations to the Customer's specific needs.
4.2 Exclusion of warranties (within the limits of law). To the maximum extent permitted by applicable law, and without prejudice to the mandatory warranties in favor of the Consumer (§10), hice excludes all warranties, express or implied, in relation to the Free Plan and the Beta Features, including, by way of example and without limitation, the warranties of merchantability, of fitness for a particular purpose, of continuity, freedom from errors, freedom from interruptions, absolute security, absence of loss or corruption of data and non-infringement of third-party rights.
4.3 No warranty of results. hice does not warrant that the Service under the Free Plan or in the Beta Features will meet the Customer's expectations or specific needs not agreed upon, nor that it will produce a particular result, nor that it will be compatible with every item of the Customer's hardware, software, browser or configuration.
4.4 AI Features. The AI Features (chat assistant, candidate matching, CV
parsing, OCR) produce results that may contain errors, inaccuracies or
«hallucinations», are provided as an aid and must be verified by the
Customer; suggested write actions require human confirmation
(human-in-the-loop). hice does not use Customer Data to train its own base AI
models. The detailed rules and transparency of the AI Features are contained in
the AI and Algorithmic Transparency Notice (informativa-ai-trasparenza.md),
which also applies to the Free Plan and the Beta Features.
4.5 Dependence on third parties and Sub-processors. The availability of the
Service, including under the Free Plan, depends on infrastructure and on
Sub-processors (cf. _foundation.md §5 and DPA). hice is not liable for the
unavailability, limitations or modifications of the third-party services on which
provision depends, including the mail and calendar services chosen by the
Customer, activated by the Customer itself with its own credentials in «BYO»
mode (Calendar/mail synchronization).
4.6 Use at the user's risk. Save for the mandatory carve-outs of §7 and the Consumer protections of §10, the use of the Free Plan and of the Beta Features takes place at the Customer's and the Users' risk.
5. Right to modify, limit, suspend or discontinue
5.1 hice's right. hice reserves the right, at its reasonable discretion, to modify, limit, suspend or discontinue in whole or in part:
5.1.1 the Free Plan as a whole;
5.1.2 individual features included in the Free Plan or individual Beta Features;
5.1.3 the usage limits, quotas and technical parameters of the Free Plan and of the Beta Features (see §6).
5.2 Reasonable notice. For the discontinuance of the Free Plan or for a substantial and unfavorable modification or limitation of its features or its limits, hice provides reasonable notice, as a rule at least 30 (thirty) days in advance, through one or more of the following channels: notice in the Service, communication to the e-mail address of the Tenant administrator or a dedicated information page.
5.3 Interventions without notice or with reduced notice. The following do not require the notice referred to in §5.2, and may be carried out without notice or with reduced notice, communicating this as soon as reasonably possible: (a) maintenance interventions; (b) non-substantial or improving modifications; (c) the Beta Features, which may be modified or withdrawn at any time (§7); (d) measures rendered necessary by security, Service or data integrity requirements, orders of the authorities or legal obligations; (e) lawful suspensions for breach of the Terms or of the AUP, in accordance with the relevant rules.
5.4 Absence of indemnity. The modification, limitation, suspension or discontinuance of the Free Plan or of individual features or Beta Features, carried out pursuant to this article, do not give rise to any indemnity, compensation, refund or credit in favor of the Customer or the Users, save for the mandatory carve-outs of §7 and the mandatory Consumer protections of §10.
5.5 Data export upon discontinuance. In the event of discontinuance of the Free Plan, the Customer may export its own Customer Data in accordance with §8.4. It is the Customer's responsibility to carry out the export promptly within the window indicated therein.
5.6 Conversion as an alternative. The Customer's right to subscribe to a Paid Plan (§9) in order to access features, limits and service levels different from those of the Free Plan remains unaffected.
6. Usage limits and quotas
6.1 Limits and quotas. The Free Plan and the Beta Features may be subject to
usage limits, quotas and technical restrictions, including, by way of example
and without limitation: number of Authorized Users; storage space and file size;
number of records (customers, contacts, candidates, projects, etc.); volume or
frequency of operations; number of requests to the AI Features; frequency and
breadth of synchronizations and processing; API call limits. The applicable
limits are indicated from time to time in the Service, in the price list or in the
Documentation. [Define and publish the usage limits/quotas of the Free Plan and of the Beta Features].
6.2 Fair use. Use of the Free Plan and of the Beta Features must comply with a
fair use criterion and must not impair the stability, security or integrity
of the Service nor the experience of other users, consistently with the AUP
(politica-uso-accettabile.md).
6.3 Technical measures. hice may adopt technical measures to enforce the limits and quotas (for example bandwidth or rate limiting, refusal or queuing of excess requests, reduction of features) without this giving rise to any indemnity. The AI Features may be provided with lower priority compared to the Paid Plans.
6.4 Modification of the limits. hice may modify limits and quotas pursuant to §5. Circumventing or evading, by any means, the technical limits, the quotas and the measures referred to in this article is prohibited, as is the creation of multiple Accounts or Tenants for the purpose of evading the limits of the Free Plan (cf. AUP).
7. Beta / Early Access Features
7.1 Experimental nature. The Beta Features are features under development, made available for the purpose of experimentation, evaluation and improvement of the Service. They may be identified as «Beta», «preview» or «Early Access» in the interface, in the Documentation or in hice's communications.
7.2 Possible defects and interruptions. The Beta Features may contain defects, errors, malfunctions, instability or gaps, be subject to interruptions and produce incomplete or inaccurate results. They may be undocumented, incomplete and not have passed the same tests and controls as the features in their stable version.
7.3 No warranty. To the maximum extent permitted by law, and without prejudice to the mandatory warranties in favor of the Consumer (§10), the Beta Features are provided «as is» and «as available», without any warranty pursuant to §4, without any SLA and with best effort support pursuant to §3.
7.4 Possible withdrawal or modification. hice may modify, suspend or withdraw a Beta Feature at any time, including without notice and including permanently, and is not obliged to make it available in a stable version nor to maintain its characteristics. The withdrawal or modification of a Beta Feature does not give rise to any indemnity, refund or credit, save for the mandatory carve-outs of §7.7 and the Consumer protections of §10.
7.5 Use at the user's risk. The use of the Beta Features takes place at the
sole risk of the Customer and of the Users. It is recommended not to use the
Beta Features for critical data or processes and to keep copies of the
Customer Data processed through such features (cf. the Customer's backup
responsibility, _foundation.md §4.5).
7.6 Feedback. hice may collect feedback, reports and suggestions relating
to the Beta Features (and, more generally, to the Service). The Customer and the
Users are not obliged to provide feedback; where they do so, they grant hice a
non-exclusive, free, perpetual, irrevocable, transferable and sublicensable
license to freely use such feedback for any purpose connected with the
development and improvement of the Service, without any obligation of attribution
or consideration. The feedback must not contain confidential information of the
Customer nor unnecessary personal data; the processing of any personal data
contained in the feedback is governed by the Privacy Policy
(informativa-privacy.md). [Confirm with the DPO the scope of feedback collection and any legal basis].
7.7 Mandatory carve-outs. The exclusions and limitations of this §7 operate within the limits permitted by law and do not apply to cases of willful misconduct or gross negligence, to personal injury and to anything that cannot be excluded under mandatory law (see §11.2).
8. Privacy, DPA and AUP — application also to the Free Plan
8.1 Full application. Provision free of charge does not reduce the protections and obligations regarding the protection of personal data and compliant use. The following apply in any event and in full to the Free Plan and to the Beta Features:
8.1.1 the Privacy Policy (informativa-privacy.md), for the data for which
hice is controller (User registration and identity data, logs and
diagnostics, support communications, etc.);
8.1.2 the DPA (dpa-trattamento-dati.md), for the Customer Data processed
by hice as processor on behalf of the Customer as controller. The DPA is
an integral part of the relationship also for the Free Plan and is intended
for all Customers, including free-of-charge ones (cf. _foundation.md §7.4);
8.1.3 the AUP (politica-uso-accettabile.md), which binds the Customer and the
Users to compliant use of the Service and governs its prohibitions and
consequences (suspension/termination);
8.1.4 the AI and Algorithmic Transparency Notice
(informativa-ai-trasparenza.md), for the AI Features.
8.2 Lawfulness of the data uploaded. Also under the Free Plan, the Customer warrants that it has a legal basis and any consents for the Customer Data, including the personal data of third parties (candidates, employees, contacts), that it enters or generates in the Service, and holds hice harmless from third-party claims relating to such lawfulness, as provided for by the Terms and by the DPA.
8.3 No training on Customer Data. hice does not use Customer Data to train
its own base AI models, including when using the Free Plan and the Beta Features
(cf. _foundation.md §4.5 and AI Notice).
8.4 Data export before discontinuance. Before the discontinuance of the Free
Plan, and for a period of 30 (thirty) days thereafter, the Customer may
export its own Customer Data through the export features of the Service, in
the formats made available. Once that window has elapsed, the Customer Data are
deleted or returned in accordance with the DPA
(dpa-trattamento-dati.md), without prejudice to the legal retention obligations
of which hice is the controller pursuant to the Privacy Policy. The Customer's
responsibility to keep its own copies of critical data remains unaffected:
hice's backup does not replace that responsibility.
9. Conversion to a Paid Plan
9.1 Right of conversion. The Customer may at any time subscribe to a Paid Plan in order to access features, limits, quotas and service levels in addition to those of the Free Plan.
9.2 Applicable rules. The economic terms of the conversion — Fees, methods
and frequency of payment through the payment processing services provider,
automatic renewal, price changes, taxes and electronic invoicing (SDI),
non-payment, free trial and any conversion, refund policy and effects of
discontinuance — are governed by the Economic and Billing Terms
(condizioni-economiche.md) and, as regards service levels, by the SLA
(sla-livelli-servizio.md). The Terms remain applicable.
9.3 Effects. Following conversion, the terms of the chosen Paid Plan apply to the Tenant; any Beta Features used remain in any event subject to these Free/Beta Terms (§1.2.1, §7).
9.4 Possible reversion to the Free Plan. Any reversion from the Paid Plan to
the Free Plan upon termination of the subscription is governed by the Economic
Terms (condizioni-economiche.md §12.2), where and to the extent provided for.
10. Consumer Customers — mandatory protections
10.1 Scope. This §10 applies when the Customer is a Consumer (a natural
person acting for purposes outside their entrepreneurial, commercial, craft or
professional activity, art. 3 Legislative Decree 206/2005) and prevails over the
other provisions of these Free/Beta Terms in the event of conflict, consistently
with the Freelancers / Consumers Addendum (addendum-libero-professionista.md).
10.2 Warranties and onerous clauses. The warranty exclusions (§4, §7) and the clauses granting hice the right to modify, suspend or discontinue the Service or to limit its liability operate only within the limits and with the mandatory protections of the Consumer Code and are not enforceable against the Consumer except within such limits. The clauses requiring specific approval referred to in §11 are not enforceable against the Consumer except within the limits and with the protections of the Consumer Code.
10.3 Consumer's forum. For disputes with the Consumer, the courts of the place of residence or domicile of the Consumer have exclusive jurisdiction, which is mandatory.
10.4 Withdrawal. As regards the aspects of the right of withdrawal
connected with any conversion to a Paid Plan, reference is made to the Economic
Terms (condizioni-economiche.md §11) and to the Addendum
(addendum-libero-professionista.md). As this is a Free Plan without a Fee, no
payment obligation arises in respect of which withdrawal would operate, save as
provided for at the time of conversion.
11. Clauses requiring specific approval (Articles 1341–1342 of the Italian Civil Code)
11.1 Pursuant to and for the effects of Articles 1341 and 1342 of the Italian Civil Code, the non-Consumer Customer declares that it has read and specifically approves, by means of separate and distinct acceptance (a second checkbox at the time of subscription/activation), the following clauses of these Free/Beta Terms:
- §3 (absence of SLA, availability not guaranteed and «best effort» support);
- §4 («as is»/«as available» Service and exclusion of warranties);
- §5 (hice's right to modify, limit, suspend or discontinue the Free Plan or individual features, absence of indemnity, reasonable notice and exceptions to notice);
- §6 (usage limits and quotas, technical enforcement measures and prohibition of circumvention);
- §7 (Beta/Early Access Features: possible defects, no warranty, possible withdrawal/modification even without notice, use at the user's risk, license over feedback);
- §8.4 (export window and subsequent deletion/return of the Customer Data upon discontinuance).
11.2 Mandatory limits (art. 1229 of the Italian Civil Code). The clauses that exclude or limit hice's liability for willful misconduct or gross negligence, for personal injury or in cases not permitted by mandatory law are null and void under Italian law and are deemed not to have been included, without affecting the validity of the remaining provisions. The reference above to the limitations of liability and warranty is therefore to be understood as referring only to the limitations permitted by law.
11.3 Consumers. For the Consumer Customer, the clauses referred to in §11.1
are not enforceable except within the limits and with the mandatory
protections of the Consumer Code (see §10). For the general framework of onerous
clauses, reference is made to the corresponding block of the Terms
(condizioni-generali-servizio.md) and to the drafting foundations
(_foundation.md §4.3).
12. Modifications to these Terms
12.1 hice may update these Free/Beta Terms with the methods and notice periods
provided for the modification of the Terms
(condizioni-generali-servizio.md). The version in force is the one indicated in
the heading of this document. Use of the Free Plan or of a Beta Feature after the
modifications take effect constitutes acceptance, without prejudice, for the
Consumer, to the provisions of §10.
13. Governing law and forum
13.1 These Free/Beta Terms are governed by Italian law, excluding its
conflict-of-laws rules, and are subject to the same provisions on governing law
and forum contained in the Terms (condizioni-generali-servizio.md). For
professional/business Customers, the courts of Milan, Italy have exclusive
jurisdiction.
13.2 Mandatory exception for Consumers: if the Customer is a Consumer, the courts of the place of residence or domicile of the Consumer have exclusive jurisdiction and the mandatory provisions of the Consumer Code apply, which cannot be restricted (§10).
